Legal Governance Associate

Meliteh Recruiting is seeking a highly qualified Legal Governance Associate to join our client's team on a full-time basis in Malta. Reporting to the Chief Legal Officer, the Legal Governance Associate will play a pivotal role in ensuring the company complies with all legal and regulatory requirements related to corporate governance.

The successful candidate will work closely with various departments to develop and implement policies that promote transparency, accountability, and compliance with applicable laws and regulations. Additionally, the Legal Governance Associate will serve as the Company Secretary for all Group Subsidiary and Affiliated Companies.

Role Requirements:
  • A bachelor's degree in law, business administration, or a related field; a JD or advanced degree is preferred
  • Minimum of two (2) years of experience in corporate governance, legal compliance, or a related field
  • Candidates currently enrolled in a Bachelor of Laws or Master in Advocacy program will be considered, provided they demonstrate a willingness to learn and strong organizational skills
  • Strong understanding of corporate governance principles, regulations, and best practices
  • Excellent analytical, problem-solving, and decision-making skills
  • Exceptional attention to detail and organizational abilities
  • Excellent written and verbal communication skills, with the ability to convey complex legal concepts to diverse audiences effectively
  • Ability to work independently and collaboratively in a fast-paced environment
  • Proficiency in Microsoft Office Suite and other relevant software applications
  • Professional certification in corporate governance or compliance (e.g., CGOCP, CCEP) is a plus
  • Ability to maintain confidentiality and handle sensitive information with discretion
  • Right to live and work in the EU
Main Duties:
  • Develop, implement, and maintain corporate governance policies and procedures in line with relevant laws, regulations, and best practices
  • Monitor and analyze changes in corporate governance laws and regulations, advising senior management on potential impacts
  • Coordinate with internal and external auditors to ensure compliance with audit requirements and address any governance-related audit findings
  • Provide guidance and training to employees on corporate governance matters, including ethics, conflicts of interest, and whistleblower policies
  • Act as a liaison between the company and regulatory agencies, ensuring timely and accurate responses to inquiries and information requests
  • Assist in the organization and management of board meetings, including the preparation of meeting agendas, materials, and minutes
  • Collaborate with the legal department on corporate transactions, ensuring compliance with governance requirements during mergers, acquisitions, and restructuring
  • Conduct periodic reviews and assessments of the company's corporate governance practices, recommending improvements as necessary
  • Maintain accurate records and documentation related to corporate governance activities
